Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and iAriya.com Limited ("iAriya", "we", "us", "our"), the operator of the iAriya online events marketplace ("Platform"). Please read them carefully. By signing up, listing a service, booking a venue, purchasing a ticket, generating AI assets or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms together with our Privacy Policy. If you do not agree, please do not use the Platform.

1. Eligibility & accounts

You must be at least 18 years old and legally capable of entering into a binding contract under Nigerian law. By creating an account you represent that all information you provide is accurate, current and complete, and you agree to keep it updated. You are responsible for safeguarding your password and for all activity under your account. We may verify your identity, business registration or KYC documents before approving certain partner accounts.

2. Roles on the platform

  • Attendees book events, services, stays and merchandise.
  • Event planners / hosts publish events and manage guest lists, RSVPs and ticketing.
  • Service providers (caterers, photographers, decorators, MUAs, etc.) list services for hire.
  • Venue owners list event venues, generate AI Showcase renditions and accept bookings.
  • Stay hosts list short-let accommodation tied to events.
  • Admins / super admins moderate content, KYC and platform health.

iAriya is a marketplace facilitator. Contracts for the underlying services (catering, venue hire, accommodation, photography, etc.) are entered into directly between the user requesting the service and the partner providing it. iAriya is not a party to those contracts except as expressly stated below.

3. Listing standards & content rules

Partners agree that every listing is:

  • truthful, complete and free from misleading claims (FCCPA §123–§125);
  • compliant with the Marriage Act, Public Health Act, NAFDAC food rules and any other industry-specific legislation;
  • free from prohibited content — illegal goods, weapons, narcotics, hate speech, sexual exploitation, gambling without licence, counterfeit fabric, intellectual-property infringing images;
  • uploaded with appropriate rights (you confirm you own or have licence for every photo, AI Showcase rendition input, gallery item, share-card image and shop product).

We may remove or suspend any listing that violates these rules without prior notice and report criminal content to the Nigerian Police Force, NCC or other competent authority.

4. Bookings, payments & payouts

  • All on-platform payments are processed by Flutterwave, a CBN-licensed Payment Solution Service Provider, in line with the Payment Systems Management Act, 2020 and the CBN Guidelines on Electronic Payments.
  • Prices are quoted in Nigerian Naira (₦) inclusive of any applicable VAT (currently 7.5% under the Finance Act, 2020) and platform commission unless stated otherwise.
  • iAriya charges a marketplace commission per successful transaction (the rate is published on the Commission page; promo discounts may apply from time to time).
  • Payouts to partner accounts are released after the successful conclusion of the booked event/stay, less commission and any disputed amounts. Payout cycles and minimums are stated in the Partner dashboard.
  • Off-platform transactions (i.e. taking the booking off iAriya) are prohibited and may result in account termination, forfeiture of pending payouts and recovery action.

5. Cancellations, refunds & no-shows

Cancellation rules vary by listing and are clearly displayed before checkout (Free, Flexible, Moderate or Strict). The cancellation policy attached at the time of booking governs the refund entitlement. Where a partner cancels, the attendee is entitled to a full refund of the amount paid plus, where applicable, reasonable consequential losses up to the limit set by the FCCPA. No-shows by attendees forfeit any deposits unless the partner agrees otherwise.

Where there is a dispute, parties shall first attempt to resolve it through the in-platform Resolution Centre. iAriya may mediate at its discretion using booking records, message logs and event check-in data.

6. Tickets, QR entry & event safety

Tickets sold through iAriya are personal to the buyer and the named attendee(s). QR codes are single-use; reproduction or transfer without authorisation is prohibited. Event organisers are responsible for compliance with crowd-control regulations, fire safety standards, the Public Order Act, applicable security permits, and the Code of Conduct for Public Events of the Lagos State Safety Commission (or the equivalent body in the host state).

7. AI features (Venue Studio, Share Card, Concierge)

The Platform integrates AI tools — including the Venue Studio (Nano Banana renditions), AI Share Card generator, Smart Search, Marketing Content Generator, and Event Concierge chat. By using these features you agree:

  • that AI outputs are generated on a best-effort basis and may contain inaccuracies — you must independently verify any information before relying on it;
  • not to use the AI tools to generate illegal, defamatory, misleading or infringing content;
  • that AI credits consumed are non-refundable except where the failure is attributable solely to iAriya;
  • that you grant iAriya a non-exclusive, royalty-free, worldwide licence to display AI outputs on the Platform for the purposes of facilitating bookings and discovery.

8. Intellectual property

The Platform, all software, designs, logos, trademarks ("iAriya", "iAriya AI Showcase", "Detty December" event branding, the iAriya graphic mark) and curated content are owned by or licensed to iAriya.com Limited. Nothing in these Terms transfers any IP rights to you. You retain ownership of content you upload but grant iAriya a non-exclusive, sub-licensable, royalty- free licence to host, reproduce, adapt and display that content as necessary to operate the Platform and promote your listings (including across our social handles).

9. Prohibited conduct

  • Reverse-engineering, scraping, or stress-testing the Platform without written permission.
  • Bypassing security, rate-limits, role-based access control or the AI-credit system.
  • Posting fraudulent reviews, fake bookings or rigging ratings.
  • Soliciting users off-platform to evade commission.
  • Any breach of the Cybercrimes Act, 2015 or the Money Laundering Act, 2022.

10. Limitation of liability

To the maximum extent permitted by law, iAriya, its directors, officers, employees and agents are not liable for: (i) the acts or omissions of partners or attendees; (ii) loss of profits, business opportunity, data or goodwill; (iii) indirect, special or consequential damages; or (iv) any amount exceeding, in aggregate, the commissions paid by you to iAriya in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence or any other liability that cannot be excluded under Nigerian law.

11. Indemnity

You agree to indemnify iAriya against any third-party claims, losses, fines or penalties arising from your breach of these Terms, your listings, your conduct at events, or your violation of any law or third-party right.

12. Suspension & termination

We may suspend or terminate your account, remove listings or refuse service at our discretion if you breach these Terms, present a security or fraud risk, or where required by Nigerian law. Termination does not affect rights or obligations that have accrued before termination, including outstanding payouts or commissions.

13. Governing law & dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved through the in-platform Resolution Centre shall first be referred to mediation under the Lagos Multi-Door Courthouse Rules. If mediation fails after 30 days, the dispute shall be finally resolved by arbitration in Lagos under the Arbitration and Mediation Act, 2023, before a single arbitrator appointed by mutual agreement (or, failing agreement, by the President of the Chartered Institute of Arbitrators (Nigeria Branch)). Notwithstanding the foregoing, either party may seek urgent injunctive relief from the Federal High Court sitting in Lagos.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in law, technology or our services. Material changes will be communicated by email and through an in-platform notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the new Terms.
